Deal Stages Explained


Private equity deal stages can be unfamiliar territory for first-time founders. Here is exactly what each stage means at Paragon Investment Capital and what you can expect from us at each point in the process.


Stage What It Means Typical Duration
Initial Review The business has passed our first-level screening. We have reviewed the pitch and are gathering further information before deciding whether to proceed to full due diligence. The founding team will typically have had one introductory call with our investment team at this stage. 1 – 2 weeks
Due Diligence We are conducting a comprehensive evaluation of the business covering financials, market position, legal and regulatory standing, leadership capability, and strategic fit with our portfolio. Management meetings, site visits, and third-party reports may all form part of this process. 4 – 8 weeks
Term Sheet Issued Due diligence has been completed satisfactorily. We have issued a term sheet outlining our proposed investment structure, valuation basis, equity stake, governance arrangements, and key conditions precedent. The business and PIC are in active negotiation on the terms. 2 – 4 weeks
Advanced Negotiation Term sheet terms have been substantially agreed by both parties. Legal documentation is being prepared and finalised, remaining conditions are being addressed, and the transaction is on track to close within the expected timeframe. 2 – 6 weeks

Every business that enters our pipeline is assessed against the same core investment criteria. These are not arbitrary checkboxes — they reflect a decade of investment experience and a clear understanding of what separates businesses that grow from businesses that merely survive.


Criteria What We Assess
Leadership Quality Strong, experienced founders and management teams with a clear vision, the ability to execute under pressure, and the openness to work collaboratively with an active investment partner.
Business Model A scalable model with demonstrated or clearly credible revenue pathways, sound unit economics, and the structural capacity to grow without proportional cost increases.
Market Opportunity A sizeable, growing market with room for a well-capitalised, well-managed business to capture meaningful share. We prefer markets with structural tailwinds over those dependent on cyclical conditions.
Competitive Advantage A defensible position — whether through technology, proprietary relationships, regulatory advantage, brand equity, or operational excellence — that is difficult for competitors to replicate quickly.
Revenue Sustainability Sustainable, recurring, or clearly repeatable revenue with a track record or credible plan for continued growth. We look carefully at customer retention, contract structures, and revenue concentration.
Exit Potential A realistic and attractive path to exit within a three to seven year horizon, whether through strategic acquisition, merger, management buyout, or public listing.
Governance Readiness A willingness to build and operate within a proper governance framework — including board structures, financial reporting standards, and compliance obligations appropriate to the business stage.
